1. General provisions
This public offer defines the conditions for the provision of services HAMS Web Studio: development of websites, landing pages, corporate websites, online stores, web applications, CRM/ERP systems, bots, complex administrative panels, payment integrations, UX/UI design, SEO, advertising and technical support.
Contractor: owner of the website HAMS Web Studio, providing web development, design, promotion and maintenance services for digital products. Contact for inquiries: support@forma-it.rf. Customer: an individual, individual entrepreneur or legal entity who sends an application, agrees on an estimate, pays for services or begins interaction with the Contractor.
2. Acceptance of offer
One of the following actions is considered acceptance: sending an application through the website, confirming a commercial offer, paying an invoice, making a deposit, written approval of work via email/messenger, or transferring materials to start a project after agreeing on the terms.
Adding a package to your cart does not in itself constitute a contract and does not create an obligation to pay for the service. The cart is needed for preliminary payment. Contractual obligations arise after confirmation of the scope of work by the Contractor and acceptance of the terms by the Customer.
3. Subject of services
The Contractor provides digital services for design, development, configuration, integration, launch, promotion and maintenance of websites and software interfaces. The specific scope of work, timing, cost, stages, team composition and results are recorded in a commercial proposal, invoice, brief, correspondence, technical specifications or a separate contract.
4. Cost and payment
Prices on the website are indicated as guidelines or the minimum cost of the package. The final cost depends on the amount of work, complexity of integrations, number of screens, requirements for backend, CMS, admin, payments, analytics, content, deadlines and additional conditions.
Unless otherwise agreed by the parties, the project starts after prepayment or deposit. The default may be a 30% deposit, staged payment or full prepayment. Costs for domains, hosting, paid services, licenses, advertising, stock photos, APIs and external contractors are paid separately if they are not included in the estimate.
5. Terms and order of work
The deadlines begin to be calculated after receipt of payment, receipt of the necessary materials, access, texts, brand materials and confirmation of the task. If the Customer delays approval, materials or access, the deadlines are automatically shifted to the period of such delay.
The work can be performed in stages: discovery, structure, UX/UI, development, integration, testing, launch, support. The results of the stages are transmitted through a link, archive, repository, demo domain, task system or other agreed channel.
6. Changes in scope of work
Edits within the agreed stage are carried out to a reasonable extent. New features, logic changes, rework of approved screens, additional integrations, urgency, porting to another stack, or business logic changes are considered additional work and are priced separately.
7. Acceptance of the result
The result is considered accepted if the Customer confirms acceptance in writing, begins to use the result, publishes it, transfers it to his team, or does not send motivated comments within 5 working days after the transfer of the stage. Comments must relate to the agreed scope of work and be specific.
8. Rights to results
Exclusive rights to materials individually created for the Customer are transferred to the Customer after full payment, unless otherwise agreed by the parties. Rights to standard developments, libraries, templates, open-source components, frameworks, internal tools of the Contractor and previously created elements are not alienated, but the Customer receives the right to use them as part of the project result.
The contractor has the right to post the project in the portfolio, show the process and result in cases, presentations and social networks, unless the parties have entered into an NDA or agreed in writing to prohibit publication.
9. Warranties and restrictions
The Contractor undertakes to perform the work professionally and correct confirmed errors that arose through the fault of the Contractor during the warranty period of 14 calendar days after acceptance of the stage, unless otherwise specified in the estimate. The warranty does not apply to changes made by third parties, failures of hosting, external services, APIs, payment systems, CMS, browsers and advertising accounts.
SEO, advertising, conversion and sales vary depending on market, product, budget, competition, content, seasonality and third party actions. The Contractor does not guarantee specific positions in the search, sales volume, cost of the application, or the passage of moderation of advertising platforms, unless such a guarantee is expressly stated in writing.
10. Cancellation and return
If the Customer refuses the project, the Contractor has the right to withhold the cost of the work actually performed, expenses incurred and reserved team time. The unused portion of the payment is returned or transferred to other work as agreed by the parties.
11. Confidentiality and personal data
The parties undertake not to disclose commercial, technical and other confidential information obtained as part of the project. Personal data is processed in accordance with the Privacy Policy posted on the website.
12. Responsibility
The parties are liable for violation of obligations within the limits of direct documented damage. Lost profits, consequential losses, business interruption and claims of third parties are compensated only in cases expressly provided for by law or written agreement. The maximum liability of the Contractor is limited to the amount actually paid by the Customer for the disputed stage of work.
13. Disputes and changes
The parties strive to resolve disputes through negotiations and written claims. The deadline for responding to a claim is 10 working days. The Contractor has the right to update the offer by publishing a new version on the website. For already paid stages, the version current on the date of payment applies, unless the parties have agreed otherwise.
